Eligibility and acceptable use

You must be able to form a binding contract to place an order. You may not misuse the website, interfere with its operation, attempt unauthorized access, use automated means to extract content, or use our content or trademarks without permission.

Orders, pricing, and payment

An order is an offer to purchase. We may accept, decline, limit, or cancel an order for inventory, pricing, payment, fraud-prevention, shipping, legal, or other legitimate business reasons. If we cancel a paid order before shipment, we will issue the legally required refund. Prices, sizes, formulations, and availability may change without notice. You authorize us and our payment processor to charge the submitted payment method for the order total, taxes, shipping, and disclosed fees.

Shipping and delivery

Shipping and delivery dates are estimates unless expressly stated otherwise. Risk of loss and title pass as permitted by applicable law. You are responsible for a complete, accurate, deliverable address. We are not responsible for delays or losses caused by an incorrect address, carrier disruption, weather, government action, or events outside our reasonable control. Our Shipping & Returns Policy is incorporated into these Terms.

Returns, defects, and authorization

All sales are final except as expressly stated in our Shipping & Returns Policy or required by law. No return may be sent without our prior written return authorization. Unauthorized returns may be refused and are not eligible for refund or credit. Claims involving an incorrect, damaged, or materially defective item must include the order number, description, and clear photographs and must be submitted within the stated claim period.

Seeds and growing results

Seeds are living agricultural products. Germination and growing results depend on factors outside our control, including storage, site preparation, soil, weeds, planting depth, timing, weather, water, temperature, sunlight, wildlife, disease, and care. Coverage figures and planting guidance are estimates, not guarantees. To the fullest extent permitted by law, we do not guarantee germination percentage, bloom timing, color balance, species expression, establishment, yield, or fitness for a particular site or purpose.

Payment disputes and chargebacks

If you believe a charge or order is incorrect, you agree to contact us promptly at service@paperstreetseed.com and provide a reasonable opportunity to investigate and resolve the issue before initiating a payment dispute, except where applicable law gives you an immediate right to dispute. Filing a chargeback does not expand your substantive rights to a refund.

We may contest a chargeback and provide the processor with order records, communications, policy acceptance, address verification, tracking, delivery confirmation, and other relevant evidence. Knowingly filing a false, fraudulent, or materially misleading dispute is prohibited. To the extent permitted by law, you remain responsible for valid amounts owed and reasonable costs we incur responding to or collecting an improper chargeback. We may decline future orders from customers who misuse payment disputes.

Intellectual property

The website, product names, photographs, artwork, copy, planting guides, logos, and trademarks are owned by or licensed to Paper Street and protected by law. No rights are granted except the limited right to use the website for personal, noncommercial shopping and informational purposes.

Disclaimers

Except for rights that cannot legally be excluded, the website, content, and products are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. Nothing here excludes an express written warranty we specifically provide or a nonwaivable legal right.

Limitation of liability

To the fullest extent permitted by law, Paper Street and its owners, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of use, lost profits, lost opportunity, or replacement landscaping costs. Our aggregate liability arising from a product or order will not exceed the amount you paid us for the product giving rise to the claim. These limitations do not apply where prohibited by law.

Indemnity

To the extent permitted by law, you agree to indemnify and hold Paper Street harmless from third-party claims, losses, and reasonable expenses arising from your unlawful misuse of the website, violation of these Terms, or violation of another person's rights.

Disputes and governing law

Before filing a legal claim, each party agrees to send written notice describing the dispute and requested resolution and allow 30 days for good-faith informal resolution. These Terms are governed by Florida law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, state or federal courts located in Palm Beach County, Florida will have exclusive jurisdiction, and each party consents to that venue. Either party may bring an eligible matter in small claims court.

Changes and severability

We may update these Terms prospectively by posting a revised version and effective date. The Terms in effect when you order will govern that order. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver.
